There will always be questions regarding issues, values, and timing in a sale. These are covered with escrows, which are monies placed in escrow accounts to cover eventual outcomes.

The standard ones are:

• Working capital escrow
• Environmental escrow
• Rep & Warranty insurance deductible

There can be others, depending on the issues in the business, but not usually. The hard part is following up on these and making sure you get them—it can take three years, but we stay with you.
